CONSTITUTION

OF  THE

REGISTERED TRUSTEES

OF  THE

CENTRE FOR WORLD REBIRTH

 

 

  

 

 

 

 

 

 

 

 

1. THE NAME

The name of the body shall be CENTRE FOR WORLD REBIRTH

also known as APIRIKANHIN INCORPORATED MINISTRIES

Hereinafter referred to as “the body” or “corporation” and the body corporate shall be

“THE REGISTERED TRUSTEES OF THE CENTRE FOR WORLD REBIRTH”,

 

 

2. ADDRESS

The address for service of the corporation under section 13 of the Trustees Incorporation Act(Cap. 5:03) shall be at the Postal address:

Jos Plateau State

 Nigeria

 

 

3. AIMS AND OBJECTIVES

 

Chartered by the United Fellowship of Christ Ministries International, New Jersey USA ( Which is Incorporated as a Christian non-profit organization under the Laws of the State of NEW JERSEY, United States of America, the corporation shall be of the following aims and objectives within and beyond the borders of the State:)

(a) To carry out all work related to evangelism and church planting.

(b) To carry out all kinds of media ministry, not excluding radio and television broadcasting, print and electronic.

(c) To train and develop Christian leadership through seminars, retreats, workshops and, conferences.

(d) To provide Christian higher education by running, maintaining or funding Bible Colleges.

(e) To offer material and financial support to Christian organizations, and leaders.

(f) To consecrate, ordain, credential and commission independent gospel ministers, Ministries and churches.

(g) To carry out charitable and benevolent exercises that shall reduce the suffering Of all prisoners; and the homeless, hungry, displaced and destitute persons.

(h) To carry out anything lawful that shall promote the gospel of the Lord Jesus Christ and its unity.

 

 

OBJECTIVES:

 

We hope to achieve the following:

  1. Rebirth of global Security

  2. Rebirth of Culture (Theoculture)

  3. Rebirth of Agriculture (Theogriculture)

  4. Rebirth of Politics (Theocracy)

  5. Rebirth of Music

  6. Rebirth of Language

  7. Rebirth of Manners

  8. Rebirth of Education

  9. Rebirth of Religion

  10. Rebirth of Science and Technology

  11. Rebirth of the global Economy

  12. Rebirth of Time Management

  13. Rebirth of Energy

  14. Restoration of Godly Order in the World and,

  15. The Rebirth of anything that promotes the happiness of mankind.

  16. Raising new Standards that affects the affairs of Humanity in a positive way.

  17. Upholding the brotherhood of Humanity through Love.

  18. Preservation of our habitat.

 

 

4. PREROGATIVES

The corporation, a legal personality totally distinct from any of or it’s entire

Membership, by and under its common seal and perpetual succession of its trustees shall inter alia have the following powers:

(a) To act to the full extent of its constitutional, civil and legal powers as laid down by

This constitution, its bylaws and/or any other applicable law of the State of

Nigeria.

(b) To hold, purchase, lease or by other contractual means acquire property and

Other assets movable or immovable; and to dispose the same in any manner as

Deemed appropriate in accordance with its aims and objectives regard being

had to the provisions of the Trustees Incorporation Act.

(c) To raise, receive and administer property both locally and abroad by way of

Subscriptions, grants, gifts, legacies, love offerings and donations in cash or

Kind for any of its aims and objectives; and to disburse, apply, spend, grant and

Donate, subscribe to or otherwise deal with such funds and property as deemed

Expedient for the execution of the corporation’s aims and objectives.

(d) To enter into, grant, sign, make or execute all such agreements, contracts, Powers of attorneys, deeds or titles or other legal instruments as may be Necessary from time to time.

(e) To do, arrange, organize, support or oppose, petition for or against anything in

Promotion of its aims and objectives; and prosecute, defend, abandon, prolong

Or compound any lawsuits both for or against it in its corporate name.

 

5. MEMBERSHIP

a) Membership of the corporation shall be open to both individual and corporate

Persons that subscribe to the aims and objectives of the body; the membership

Terms being stipulated by the board of trustees from time to time.

b Membership shall however terminate upon:

(i) Resignation in writing to the National Director

(ii) Death

(iii) Misconduct towards Christian faith

(iv) Decision of the Board of Trustees

 

6. FUNDS, PROPERTY AND MANAGEMENT

(a.) All funds and property of the corporation shall irrevocably vest in the Board of Trustees.

The Board of Trustees shall cause proper books of accounts to be maintained at All  times.

(c.) The Board of Trustees shall appoint bankers for the corporation and shall cause Some accounts to be maintained at any branches of the bankers with the proper Signatories being ascertained from time to time.

 

 

7. ORGANS OF THE BODY

(A)BOARD OF TRUSTEES

(i) There shall be a Board of Trustees of the body comprising the National Director, General Secretary, General Treasurer and some two other members keeping office For a period of two years subject to reelection by the General Meeting.

ii) Board members shall cease to hold office upon any of the following:

(a) Resignation in writing giving some two months notice.

(b) Death

(c) Incapacitation

(d) Proven misconduct towards Christian faith and ministry policy

(e) Decision of the International President

(iii)Vacancies arising within the Board shall be filled within some three calendars

Months either by extra ordinary general meeting or by appointment by the

International President.

(iv)The Board shall meet as and when deemed appropriate at such places and times as

Shall be agreed upon and 3/5 of the members personally present shall constitute a

Quorum.

(B) THE GENERAL ASSEMBLY

There shall be a general assembly of the body held at least within every twelve

Calendar months at such places as the board of trustees shall determine for the

Transaction of the affairs of the ministry.

(D) MINISTRY DEPARTMENTS

The Board of Trustees shall establish such departments and committees or sub Committees as shall be deemed expedient for the running of the affairs of the body.

8. THE SEAL

(i) The body shall have a seal which shall be a COMMON SEAL embossed with the Words

OFFICIAL SEAL OF CENTRE FOR WORLD REBIRTH, CHARTERED BY UFCMI USA

(ii) The seal device shall be kept in the custody of and by the National Director.

(iii) The device shall only be affixed to any or all instruments in the presence of some Three trustees and any two of such trustees present shall set their signatures unto Such instrument.

9. DISSOLUTION

(A) The corporation shall only dissolve by a 2/3 majority vote of the Board of Trustees.

(B) Upon dissolution, all assets of the corporation shall be donated to a charity or such Charities as the board of trustees shall determine.

10. AMENDMENT

No part of this constitution shall be amended unless by a 2/3 majority vote of the

General Meeting provided notice of such proposed amendment has been circulated at least some thirty days prior to such date of meeting.

11. CITATION

This document contained on the pages consecutively numbered 1 to 5 shall be cited as

THE CONSTITUTION OF THE CENTRE FOR WORLD REBIRTH.

 

 

12. CERTIFICATION
